You bought a Dubai apartment before it was built, and now your plans have changed. Dubai law allows you to sell before handover. This guide shows how to sell off plan properties in Dubai, step by step, using the official rules.
Many US owners sell early to lock in a gain or stop paying instalments. Online advice often clashes on fees and minimum payments, so we separate what Dubai law fixes from what your contract decides.
We cover the law, steps, fees, remote selling, default risk, US tax and the 2026 market. This is general information, so speak to a UAE lawyer and a US CPA about your case.
What You Actually Sell
Before handover, you do not own a title deed yet. You own a registered purchase contract, and that contract is what you sell.
The Oqood Register
The Dubai Land Department (DLD) records every off plan property sale in its Interim Property Register, often called Oqood. That entry proves your rights until the developer finishes the building and DLD issues a title deed.
Assignment Explained
An off plan resale is an assignment. Your buyer steps into your contract, pays you an agreed price, and takes over the remaining payment plan. If you are new to this market, our guide to buying off plan explains how these contracts start. Owners selling a finished home follow a different path, covered in our London team's guide to selling ready property.
The Legal Basis
Dubai's interim register law%20of%202008.html) gives you the right to sell. Article 6 states: "Real Property Units sold off-plan and entered in the Interim Property Register maintained by the Department may be disposed of by way of sale, mortgage, or any other legal disposition." Article 3 adds a warning. Any sale that DLD does not enter in that register is void.
When Selling Is Allowed
The law allows the sale, but your contract and your developer control the timing. Three checks tell you whether you can sell today.
Read Your SPA
Your sales and purchase agreement (SPA) is the contract you signed with the developer. It may set a minimum amount you must pay before a resale, or a period when you cannot sell. No Dubai law sets one figure for every project, so ignore any "standard" percentage you read online. Your SPA is the rule that counts.
Clear Any Arrears
If you have missed instalments, fix that first. A developer can report a late buyer to DLD, which then serves a 30-day notice. A buyer will rarely take on unpaid amounts without a lower price.
Developer NOC Rules
Your developer must approve the sale with a no objection certificate (NOC). For the sale to register, DLD's sale service asks for "a no-objection e-certificate (e-NOC) from the developer" through the Dubai REST app. The 2008 law also allows developers to charge only the administrative costs that DLD approves. Ask for any developer charge in writing before you agree to it.
How to Sell Off Plan Properties in Dubai
The process follows a clear order, and the paperwork moves quickly once your developer issues the NOC. Keep every receipt for your US tax return.
Seven Simple Steps
Here is how to sell off plan properties in Dubai in seven steps:
-
Read your SPA: find the resale clause, any minimum payment and any lock-in period.
-
Get a statement of account: ask the developer what you have paid and what is still due.
-
Set your price: compare it with what the developer now charges for similar units, including its payment plan.
-
Sign Form F: this is DLD's standard sale contract, which you and your buyer both sign.
-
Request the e-NOC: the developer issues it through the Dubai REST app.
-
Book the trustee office: DLD lists its standard sale registration as a 25-minute service.
-
Pay fees and register: DLD records the sale in the Interim Property Register in your buyer's name.
Documents to Prepare
A complete file stops last-minute delays at the trustee office. Gather these papers before you list the unit:
-
Passport or Emirates ID: DLD accepts "a valid passport for non-resident foreigners".
-
SPA and Oqood certificate: your original contract and its DLD registration.
-
Developer e-NOC: issued through the Dubai REST app once the developer approves.
-
Signed Form F: the sale contract between you and your buyer.
-
Power of attorney: only if someone will sign for you in Dubai.
-
Liability letter: needed if a bank or the developer is still owed money.
Selling From the United States
You do not have to fly to Dubai to sell. You need one well-prepared document and a plan for receiving the money. If your unit supports a residence visa, read our property visa rules first, because selling can change your eligibility.
Power of Attorney
A power of attorney (POA) lets a trusted person or agent sign for you at the trustee office. DLD's FAQ says a POA for a sale stays valid for two years. Our guide to remote buying steps shows how US investors handle paperwork from home.
Attesting US Documents
Dubai accepts a POA signed in the US only after official attestation. The UAE Embassy in Washington says VFS Global has handled document attestation since 21 August 2025. Confirm the current steps on the embassy's website before you sign.
Receiving Your Money
Ask the trustee office how and in whose name you will receive your share. If the money lands in a UAE bank account, the US reporting rule in our tax section applies.
Fees You Should Expect
Anyone learning how to sell off plan properties in Dubai should know the fees come from one official schedule. Only one fee has a split set by law.
Official DLD Fees
Executive Council Resolution No. 30 of 2013 sets the DLD fee at 4% of the sale contract value. It covers off plan units and says the fee is "shared equally by the seller and purchaser" unless agreed otherwise. The other amounts below come from DLD's sale registration page.
|
Fee |
Amount |
Who Pays |
|---|---|---|
|
DLD registration fee |
4% of sale value |
2% each, unless agreed otherwise |
|
Knowledge and innovation fees |
AED 10 + AED 10 |
As agreed in Form F |
|
Trustee office fee |
AED 4,000 + VAT (AED 500,000+ sale) or AED 2,000 + VAT |
As agreed in Form F |
|
Developer NOC charge |
DLD-approved admin costs only |
As agreed in Form F |
Takeaway: the law fixes only the 4% split, so write every other cost into Form F.
Who Pays What
You and your buyer can agree that one side pays the full 4%, but that is a choice, not a rule. If nobody agrees otherwise, each side pays 2%. Never try to understate the price, because the same resolution fines fee evasion at double the fee.

Sell, Hold or Default?
Sometimes the hard part of how to sell off plan properties in Dubai is deciding to sell at all. You have three paths: sell now, keep paying until handover, or stop paying. The third path is the costly one.
Default Rules Explained
Law No. 19 of 2017 sets out what a developer may do after a 30-day DLD notice, as the official explanatory notes explain. The table shows the most it may keep:
|
Project Stage |
Developer's Options |
Most It Can Keep |
|---|---|---|
|
Works not started (beyond its control) |
Terminate the contract |
Up to 30% of amounts paid |
|
Below 60% complete |
Terminate the contract |
Up to 25% of unit value |
|
60% to 80% complete |
Terminate the contract |
Up to 40% of unit value |
|
Above 80% complete |
Claim the balance, auction or terminate |
Up to 40% of unit value |
|
Project cancelled by RERA |
Must refund all payments |
Nothing |
Takeaway: a sale at a small discount usually costs less than these limits. RERA is Dubai's Real Estate Regulatory Agency.
When Selling Wins
Buyers keep rights in this process, and the law lets them go to court if a developer abuses its powers. Dubai lawyer Ahmed Al Zarooni told the Khaleej Times on 10 October 2026: "A developer's right to act against a defaulting buyer is not absolute." Still, selling before a notice arrives keeps you in control.
Holding to Handover
If you can keep paying, waiting is an option. The choice between off plan vs ready property in Dubai often comes down to timing, since a finished unit may attract end users and tenants. Our guide to selling after handover covers the ready property route.
Selling a Financed Unit
Some owners finance their off plan properties. DLD runs a separate service for selling a unit with money still owed, and the buyer's money clears that debt as part of the transfer.
Clearing the Balance
DLD's mortgaged property service accepts "a liability letter from the bank or a letter from the developer of the remaining amount". The buyer brings three manager's cheques: one for the debt, one for your remaining balance and one for the 4% DLD fee. DLD lists AED 1,290 for the mortgage release and AED 315 for the registrar. Confirm with the trustee office how this applies to an Oqood unit.
US Tax on Your Gain
Dubai does not tax this gain for individual investors, but the US does. US citizens pay tax on worldwide income, and there is no US and UAE income tax treaty.
Holding Period Rules
IRS Topic 409 explains that the time you hold an asset decides your rate. The table below sums up the main rules for a Dubai off plan sale.
|
Situation |
US Tax Rule |
Form or Source |
|---|---|---|
|
Held one year or less |
Short-term gain, taxed as ordinary income |
Form 8949, Schedule D |
|
Held more than one year |
Long-term gain, taxed at 0%, 15% or 20% |
Form 8949, Schedule D |
|
Income above $200,000 single or $250,000 joint |
Extra 3.8% net investment income tax |
Form 8960, IRS Topic 559 |
|
Payments made in AED |
Convert each one at the rate on that day |
IRS foreign currency rules |
|
Foreign accounts above $10,000 |
File an FBAR for the year |
FinCEN Form 114 |
Takeaway: when your holding period starts matters, so check your dates with a CPA before you sign Form F.
A Worked Example
Here is an example with made-up figures, converted at the 3.6725 dirham peg. You agreed to buy a unit for AED 1,500,000 and paid AED 600,000 plus your AED 30,000 DLD share, a cost of AED 630,000 ($171,545). Your buyer pays you AED 750,000 ($204,221) and takes over the AED 900,000 still owed. After example selling costs of AED 19,200 ($5,228), you net AED 730,800 ($198,993). That leaves an example gain of AED 100,800, about $27,447. At an example 24% short-term rate, that means about $6,587 in tax, or $4,117 at the 15% long-term rate. Your CPA decides what counts in your cost.
Reporting UAE Accounts
The property itself does not go on an FBAR (Foreign Bank Account Report). Cash does. If your foreign accounts top $10,000 at any time in the year, you must file one, and Form 8938 may also apply.
Timing Your Sale in 2026
Timing matters as much as paperwork. The market is slower than in 2025, so price with care.
Market Right Now
The latest Q3 figures from Cavendish Maxwell show Dubai home sales of AED 72.6 billion from July to September 2026, down 47% year on year. Off plan deals still made up 72% of purchases. The National also reports that S&P expects more secondary market sales as falling prices push investors to sell. Our 2026 market news tracks the trend.
Mistakes to Avoid
Our guide to Dubai property risks covers more. These are the selling traps:
-
Stopping payments early: a 30-day notice can end with the developer keeping up to 40% of the unit value.
-
Trusting one online "minimum": your SPA sets the resale rules, not a blog post.
-
Accepting unwritten fees: developers may only charge DLD-approved admin costs.
-
Skipping DLD registration: an unregistered sale is void under Dubai law.
-
Pricing above the developer: buyers compare your price with the developer's own unsold units and payment plan.
-
Forgetting the 12-month line: a quick sale may face ordinary US income tax rates.
Plan Your Next Move
Selling before handover comes down to four things: your SPA terms, a developer NOC, a DLD trustee appointment and a clear plan for US tax. The Dubai Property Expo USA team, led by Vishal Sardana, helps US investors buy, hold and sell Dubai property with the official rules in view.
